Terms of Service

1. Acceptance of Terms

By accessing or using RetroHub AI ("the Service"), operated by Retro Hub AI Inc. ("we," "our," or "us"), a corporation incorporated in British Columbia, Canada (Business Number 719420036RC0001), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time; continued use after changes are posted constitutes acceptance.

2. Eligibility

You must be at least 13 years old to use the Service. By using RetroHub AI you represent that you meet this age requirement. If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Provide accurate registration information and keep it up to date.
• Notify us immediately of any unauthorised use of your account.
• Not share your account with others or allow others to access the Service through your credentials.
• Accept responsibility for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

• Generate, distribute, or promote content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory.
• Infringe upon intellectual property rights, privacy rights, or other rights of any person or entity.
• Generate spam, unsolicited commercial messages, or deceptive content at scale.
• Attempt to reverse-engineer, circumvent, or exploit any part of the Service or its AI systems.
• Use the Service in a way that could damage, disable, overburden, or impair our infrastructure.
• Violate any applicable law or regulation, including data protection and consumer protection laws.

We reserve the right to suspend or terminate accounts that violate these standards, without notice.

5. AI-Generated Content & Ownership

When you use RetroHub AI to generate content, you retain ownership of the input you provide (your prompts, data, and creative direction). The AI-generated outputs are assigned to you subject to the following conditions:

• You grant us a limited, non-exclusive licence to store, cache, and process your inputs and outputs solely to provide and improve the Service.
• AI-generated content may not be unique — similar outputs may be generated for other users using similar prompts. We make no warranties of exclusivity.
• You are solely responsible for reviewing AI-generated content before publishing or distributing it. We are not liable for any claims arising from the use of AI-generated content.
• Some AI model providers (e.g. xAI / Grok) may have their own usage policies that apply to outputs generated by their models. You agree to comply with those terms.

6. Social Media Integrations

The Social Suite feature allows you to connect social media accounts (Twitter/X, LinkedIn, Facebook/Meta) and schedule or publish content. By connecting a social account you:

• Authorise RetroHub AI to post, read, and manage content on your behalf as permitted by the OAuth scope you grant.
• Acknowledge that you remain solely responsible for all content published through your connected accounts and must comply with each platform's terms of service and policies.
• May revoke access at any time from your profile settings or directly through the respective social platform.

We are not affiliated with Twitter/X, LinkedIn, or Meta. Each platform's own terms of service apply to your use of those platforms.

7. Billing & Subscriptions

RetroHub AI offers free and paid subscription tiers, as well as one-time credit top-ups. All payments are processed securely by NMI (Network Merchants Inc.).We store no credit card information on our servers. All transations are processed by NMI (https://www.nmi.com/) PCI-compliant payment processor.

• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• Cancellation takes effect at the end of the current billing period; you retain access until then.
• Refunds — we offer refunds at our discretion within 7 days of a charge if you have not consumed a material portion of your subscription value. Contact [email protected].
• Credits and top-ups are non-refundable once consumed. Unused credits expire at account termination.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.

8. Termination

You may delete your account at any time from your profile settings. We reserve the right to suspend or terminate your access to the Service immediately and without notice if we determine, in our sole discretion, that you have violated these Terms or applicable law. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated content may be inaccurate, incomplete, or outdated. You are responsible for independently verifying any AI-generated output before relying on it.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RETRO HUB AI INC. AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Retro Hub AI Inc. and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if unresolved, submitted exclusively to the courts of British Columbia, Canada.

13. Changes to These Terms

We may revise these Terms at any time. When we do, we will update the "Last updated" date at the top. For material changes we will notify you by email or a prominent notice in the Service. Your continued use after the effective date constitutes acceptance of the updated Terms.
